1. Acceptance & Who We Are

By accessing andreabdenneystudios.com, purchasing, uploading voice, joining Companion, or using free resources, you agree to these Terms. Andrea B. Denney Studios is a sole proprietorship / business based in Dickson County, Dickson, Tennessee 37055, operating nationally as traveling studio. If you do not agree, do not use the site. We are not a law, medical, or mental health practice. See Disclaimer.

2. Our Services & What They Cost Today

Current offers at publish (Stripe checkout controls final price, tax extra where required):

• Voice Preservation Starter Kit — $19 Digital, instant on-screen access + email backup. Includes checklist, map of places voice hides, saving instructions for iPhone/Android/voicemail. Non-refundable after delivery begins (access granted). Tennessee sales tax may apply; shown at checkout. Does NOT include WhatsApp restoration or Facebook Messenger voice preservation unless you already have export — we disclose boundary for artifact integrity.
• Voice Review Report — $297 Async review of up to 200 files you already have saved, delivered within 48 business hours on Mon/Wed/Fri excluding federal holidays. Includes categorized inventory, what is salvageable, next steps. If credit to $3K: credit remains valid 90 days from report delivery date. Must request credit via hello@.
• Full Voice Preservation — $3,000 Done-with-you transformation of up to 200 source files into one 10-minute heirloom keepsake plus WAV archival masters and accessible MP3. Human artistry only, AI for editing efficiency never sound recreation. Mon/Wed/Fri container support only — not 24/7 — replies within those windows. Pause right: clock stops for health or family emergency up to 90 days total per project, must email request. Delivery via private link. Travel not included. Turnaround varies by queue; estimated 2-4 weeks after intake complete.
• Legacy Continuance Archive — $10,000 12-week museum-grade fine art + audio + narrative heirloom installation. Limited to 5 families per calendar quarter (20/year) due to health stewardship. Includes: discovery sessions, on-site or remote capture (see travel below), curation, fine art edit, sound restoration, story weaving, heirloom box + digital archive. Excludes therapy, legal album rights clearance beyond personal use, house-wide declutter, video documentary beyond agreed scope. Pay-in-full $10K or $1,000/mo x10 months (total same). Payment plans via Stripe; failed payment pauses work. Deposits: production deposits non-refundable once vendor engaged (printer, framer, artisan). See Refund Policy.
• Facilitator Guides — $9.99 to $39.99 Immediate digital download PDF after Stripe success. Licensed for individual or small group facilitation where noted; not for resale.
• Books — $9.99 / $24.99 / $39.99 Sold via Amazon; Amazon Terms apply. We redirect; purchase not on our checkout.
• Legacy Companion — $67/month or $650/year Daily keeping app for private journaling, prompts, remembers, advocacy workspace. 7-day free trial, charged on day 8. Cancel anytime; you retain access through end of paid period. Yearly: non-refundable for unused months; cancel stops renew. Price changes with 30-day email notice. Companion is not clinical care, not crisis service — Mon-Fri container. See Disclosure.

All prices in USD. Tennessee sales tax disclosed at checkout where nexus applies. Delivery method disclosed on-screen at purchase and in confirmation email per purchase-flow-rules.

3. Subscriptions & Trials

Companion trial: requires card at signup via Stripe, first charge day 8 at 00:00 UTC. To avoid charge, cancel before trial ends via /support customer portal link (Stripe Customer Portal). After charge, no prorated refund for current period. Failed payment: Stripe Smart Retries 3x over 7 days, then access paused but data retained 90 days. Yearly plan: same portal to cancel. You keep access through period end. Unsubscribe from Weekly Notes separate — does not cancel Companion.

4. Payment & Taxes

Payments via Stripe. You authorize charge of displayed total including tax. If Tennessee sales tax required, collected at checkout. International: you may incur VAT/GST — Stripe may collect. Receipts via email. Coupon validation via /functions/validate-coupon. Abandoned checkout emails may fire from use-abandoned-checkout hook — opt out via unsubscribe. No hidden fees.

5. Travel Expenses for Archive

Phase 5b travel: Middle Tennessee (Dickson, Cheatham, Williamson, Davidson counties) included up to 50 miles one-way from Dickson TN 37055. Outside that: mileage billed at current IRS business rate, plus lodging, meals, and hazard surcharge for difficult conditions (heat, accessibility). Estimate provided before booking. Non-refundable once tickets booked. Client may opt fully remote capture to avoid travel.

6. Intellectual Property & Human Artistry Promise

You own your stories. We own the Legacy Continuance Method™ structure, fine art photography edits, original music “Thriver,” soundscapes, narrative weaving, and tools (assessments, journal prompts, facilitator guides). Before full final payment for Archive/Full Voice, IP remains Studio. After full final payment, you receive personal-use, non-commercial license to display, share privately with family, and include in non-commercial memoirs. Commercial licensing (exhibit, film, book publication of our art) requires separate agreement.

We never train AI on your voice or your deceased loved one’s voice to synthesize speech. We use AI for editing efficiency (noise reduction tools, file sorting) never for sound recreation or generation. Your voice files will never be used to create an AI avatar without separate written consent — which we do not offer.

7. Your Content License to Us

By uploading voice files, you grant us limited, non-exclusive, revocable license to download, back up, transcode, restore, and transform into heirloom for you. You warrant you own rights or have permission from all rights holders to provide these files, and that upload does not violate privacy laws or carrier terms. You will not upload voice of living persons without their consent, child voice without guardian consent, or illegal recordings. License terminates after delivery + 30-day backup window if you request deletion. Exception: we may retain final heirloom 90 days after delivery in case you need re-download, then purge per request.

8. Prohibited Conduct

• Harassment, abuse, hate, or sharing client stories without consent.
• Uploading others’ voice without consent, illegal interception, or doxxing.
• Resale of digital kits, guides, Companion access.
• Scraping voice archives, reverse engineering, or attempting to download other families’ private links.
• Affiliate spam, fake reviews, trademark bidding on “Andrea B. Denney Studios” or typo variants in paid ads without permission.

9. Affiliate Program

18+ US only at this time, must have W-9 for payout over $600. Commission 30% on $3K Full Voice, $10K Archive, $650 yearly Companion, and $199 Strategy session where offered; 0% on $19 kit, $297 review (except credit application), $9.99-$39 guides, books via Amazon. Attribution 60 days from ?ref click via localStorage + cookie. Last-touch. Payout every 60 days after client refund window closes, via Stripe Connect or manual. FTC: you must disclose affiliate relationship clearly (“I may earn commission”). We reserve right to deny or revoke for spam or misleading claims.

10. Disclaimers — Not Therapy, Not Crisis

Our services are creative legacy preservation, not licensed therapy, not medical, not legal, not ministry, secular. We do not diagnose or treat. 11. Limitation of Liability & Indemnity

To maximum extent allowed by Tennessee law, Studio total liability capped at amount you paid to Studio in 12 months before claim. No consequential, incidental, special, or punitive damages, including emotional distress claims arising from inability to recover already-lost voice. You indemnify Studio against claims arising from your illegal upload, lack of consent, or misuse. Some states do not allow limits, so limits may not apply to you.

12. Dispute Resolution — Dickson County, Tennessee

Informal resolution first: email hello@andreabdenneystudios.com with “Dispute — [topic]” and we respond within 10 business days; you agree to confer 30 days before formal action. If unresolved, mediation in Dickson County, TN with mutually agreed mediator, cost split. If still unresolved, binding arbitration or court action in Dickson County, Tennessee. Governing law Tennessee without regard to conflict rules. Jury trial waived where permitted. You consent to personal jurisdiction there. Small claims under $5K may be filed in your local small claims court instead of arbitration if you prefer.

13. Changes, Severability, Entire Agreement

We may update Terms with new Last Updated date; material price or rights changes emailed 15 days prior. If any provision unenforceable, remainder stands. These Terms plus any signed Archive Client Agreement (archive-client-agreement.md) and Refund Policy constitute entire agreement for relevant service.
